01. Hello everyone, welcome to the Stock Market Kannada channel. In this video, I am covering Vijay KD's 10 Red Flags of Investment. As you all know, the Jansal Engineering stock has crashed recently. Almost more than 90% of the stocks have crashed recently. Vijay KD has shared 10 points on his Twitter account about what we should do to avoid such crashes.

02. Let's try to understand some things about those 10 points. Of course, if we know these red flags and stay away from such companies, the chances of losing will be reduced. Let's see what red flags he shared, especially what issue Jansal Engineering had there. After seeing that, how can we avoid such scams?

03. He has shared these points in his X account about what can be avoided. You can see here. There are many points. This is what Diment has published as an article. Let's go from there and see. Many Generals Still Hiding in the Cup Board. Vijay Kedia Shes 10 Red Flags That Screen Before Scam In Case You Are Analyzing Any Company To Invest In.

04. If You Find Any Such Points There, They Say, Definitely Stay Away From Such A Company. So What Are Those Points? Let's Go And See Them One By One. Friends, First Of All, Talk Big And Over Promise. This Is What Management Says. The Talks Are Big, The Targets Are Big, They Say, We Will Achieve This Much In The Next Year, But It Is Not Possible To Achieve.

05. So, I Do Not Over Promise Like This. You said earlier that we should consider which management is good management, that is, we can trust such management that walks the talk, that is, does what is said, while doing management analysis, I have also explained about it in a separate video earlier. What is possible should be said, what is impossible should be said, because in the short term, there may be good performance in the stock, but once the outcome is not as they said, the stock will immediately crash.

06. For example, if we achieve 1000 crores in revenue, if we give a target of at least 900 crores in the next year, we will achieve it or in case we cross 1000 crores, the market will appreciate it. In case they said 1000, it has reached 900, why did n't they cross 1000? Management has to say something.

07. The market will appreciate that too if you give the proper reason . If we say that achieving the same target of 1000 crores will be 500 crores, the market will definitely slap us in the face. So, if someone talks big and makes over-promises, stay away from them. This is the first red flag. The second one is to maintain a constant media presence.

08. They want to be in the media all the time or they want to be in the news all the time. We can see that through news coverage, hyperactive social media posts and endless interviews. They give many interviews. They post social media posts regularly. If there is any management like this, you have to be careful and watch it too.

09. Why? You know what is happening in America recently. Tariff, tariff, tariff. Similarly, they post posts, give interviews, talk big and make big statements. It impacts the stock price. So, in such a place. We also need to be careful, it is a red flag, they say. Magnifying even the smallest developments, even if it is a small development, is a red flag, they say.

10. Then, raising funds frequently without clarity and deployment, they are raising funds repeatedly, especially where to invest. Why does any company raise funds or should it? There should be clarity about where to invest it, how much revenue will it bring, how much profit can it make? All these things should be known to be able to manage all of them.

11. First of all, fund raising is not about management, because according to the rules, the fund has been raised with a purpose, and that money should be used for that purpose. Which company should use it for what purpose? If a company is using it for different purposes without using it, then the management of that company is not right, meaning it is raising funds repeatedly and there is no clarity about where to invest and where to deploy that money.

12. Doing this is also a big red flag. We should stay away from this side too. Then diversify into unrelated businesses. Just right trending narratives means getting into businesses that are not related. For example, let's say an FMCG company. What is its job? It works in the food segment. It can be bakery foods or any other type of foods.

13. A company that works in the food segment. Now the EV sector is growing there. The EV sector is trending there. We will manufacture electric vehicles and get into that business. Is there a relationship between the two? I am just giving an example of electric vehicles in FMCG. In this way, there is no need to invest in businesses that are not related to each other.

14. But if you invest in a business that is related to that company, there is definitely a higher chance that it will give profit to the company. What happens when you invest in a related business? They may not know about the business. It is not appropriate to immediately invest there just because there is a trending topic or industry.

15. We also have to be careful when investing in unrelated businesses. How much do they achieve? In case a company working in the FMCG sector invests in other businesses related to FMCG, then the success rate will definitely be higher. If you come, the success rate there will be low. In case the company's management is capable, that's a different matter, but the success rate is low when investing in unrelated businesses.

16. So we have to be careful about that too. That's also a red flag. It's not like everyone will succeed. For example, if 100 people ask for an unrelated business like this, 50% of them will succeed, and 50% will fail. So the success rate is low. We have to analyze that carefully. We have to understand it.

17. Now, coming to the next point, overuse flashy buzzwords to sound innovative without real substance. What are the current buzzwords? For example, here they have given an example. You can see that AI powered next-gen descriptive words are used by using these types of words. What happens is that a narrative is created that this company is achieving something.

18. This kind of flashy buzzwords are used to attract investors. This is also a red flag, they say. They can see that then the promoters flaunt lavish lifestyles that don't match the company's performance. The company's performance is normal, but what is their lifestyle? What is the lifestyle of the company 's promoter?

19. It is very lavish. They also say that this is a red flag because the promoter of the company should think as a shareholder because they are also a shareholder and it is important to live in luxury. In companies, there are more chances of wealth destruction than wealth creation because their focus is elsewhere.

20. They are more focused on living lavishly than growing the company, so it seems to show their wealth. So we have to be careful in this regard too. This is also a red flag. Then, they say, have high-level promoters. This is also very important, especially recently. What is the issue that we are seeing in Janasal Engineering?

21. There are a lot of issues there, including promoter pludging. This is dangerous. As I have said before, if the company is managing its debt properly, it is definitely not a problem. Because companies need capital. Not all companies always keep cash. They have to take loans. Sometimes, to grow the company or business, there is a need for debt.

22. Promoters also have to do pludging, but it is proper. It should be used as such, it becomes very important, so if it is below 25%, it is okay, it is a manageable limit, but if it is above 25%, it is definitely not a good sign. They call this a red flag for any company. Nowadays, there are frequent exits of key personnel, CFOs, auditors, CAOs.

23. This is very important. You may have seen that if the auditors of a company resign, the stock immediately goes down. If the CFO resigns, the stock immediately goes down. That is why key personnel are frequently leaving. This is a big red flag. Because if someone is not there, they think that there may be some problems inside.

24. Because if they are not there, they think that there is a problem. Those who came and said, "Oh, this is a house, sir," keep coming back, or are going away, or are managing it properly, and they get a good response from the promoters. Obviously, they stay in the company for a long time and grow the business to a good extent.

25. So we have to pay attention to such exits. Changes are happening here frequently. It is better to avoid that too. Then, engaging in excessive related party transactions also becomes very important. The best example is that recently, Janasal Engineering has also had several related party transactions.

26. What happens repeatedly is that the promoters or management persons are using them to divert funds. Now, the promoter for example is the MD of the company. That is, they are taking orders or giving addresses, making acquisitions, doing these kinds of transactions. This can also be called a red flag.

27. If there are one, two, three, four related party transactions, okay, but they are happening repeatedly, on a very large scale, then they also call it a big red flag. They also say that it is a red flag. Yes, there is no doubt about it. So these 10 red flags that they have mentioned and shared are to identify corporate scams.

28. In case any of these symptoms are found in the companies you have invested in, then you definitely need to be very careful or it would be better to invest elsewhere than investing in them. So, if you want, take a screenshot of this and keep checking it. Then, from time to time, check if there are any developments like this happening in the companies you have invested in.

29. That will definitely avoid some losses for us. So, we can definitely say that these are scam alerts. If we follow them properly, our chances of losing money will definitely be reduced. Okay, before you buy another Jansal-type stock, check these things out and stay away from the company if you find any of these signs. .
