Sometimes behind the glitz of companies lie secrets that come out one by one over time. But by then it is too late and lakhs and crores of rupees of investors are lost. The latest example of this is Jensol Engineering Limited in which news of a big scam has come to light and its impact has been seen on the company's shares on a large scale.
Now, veteran investor Vijay Kedia has also reacted to this and has told about 10 such red flags which indicate that something wrong is going on in the company and if retail investors recognize these signs in time, then your money can also be saved from sinking. So let us know about those 10 red flags in this video.
But first let me tell you about what is going on in Jasol Engineering. Actually, market regulator SEBI had received a complaint in June 2024. When an investigation was conducted on the complaint, SEBI found that the company's funds were diverted to purchase luxury properties and pay for the personal expenses of the promoters.
According to several media reports, SEBI investigation has found that the company had taken a loan of Rs 975 crore to purchase 6400 electric cars. But out of these, only 4704 cars were purchased for Rs 567 crore. In this, an amount of more than ₹200 crore was not accounted for. Now SEBI has taken action and banned Jasol Engineering CEO Anmol Singh Jaggi and promoter Puneet Singh Jaggi from the securities market.
The market regulator has also barred Anmol and Puneet Singh Jaggi from holding any director or key managerial position in Jasol until further orders. Now let us come to what response Vijay Kedia has given on this. So veteran investor Vijay Kedia says there are still many Gensols hidden in the cupboard.
Waiting for it to come out in time and hoping it's not too late by then. That means he is trying to say that like Jasol, there are many other companies in which internal irregularities are going on in the accounts. It just needs to come out in time so that investors do not have to suffer huge losses.
Let us tell you that Vijay Kedia also has a famous saying regarding the stock market. He once said that the stock market is like a sea; it hides as much as it shows. That means there is much more hidden than what is visible and what is not visible is the biggest risk. Now let us tell you which 10 red flags Vijay Kedia has mentioned, by identifying which you can save your money from sinking.
So the first one is big talk and excessive promises. That means when a company says that we will change the whole world or we will grow 1000%, then you need to think a little about it because over promising is a big warning. If there is a lot of talk and less work, this could be the first red flag. The second red flag is constantly being in the media.
Vijay K says that he has to give some interview every week. Every day a press release, new claims on social media every day. Remember, media exposure is one thing and business growth is another. If a company is trying to remain in the limelight all the time, then pay attention whether it is just an act or not.
The third red flag is exaggerating small developments. That is, sometimes companies present minor progress or development as if a major revolution has taken place. Doing so suggests that the company is running on hype rather than actual growth. The fourth red flag is repeatedly seeking funding. That too without giving any information about where the money will be used.
Taking new funding every few months but not telling the plan as to what will be done with this money? This shows that there is no clarity on sustaining the company. The fifth red flag we are going to talk about is diversifying into unrelated businesses. This means that companies diversify into unrelated businesses just to take advantage of the trending narrative.
For example, suppose AI is trending, then now this company has also become AI oriented. If there is an EV boom, this company will now become an EV. So in this way, companies adopt these tactics so that they can remain in the limelight. The sixth red flag is excessive use of attractive words like AI, Power, Next, Zen, Disruptive etc.
to try to appear innovative. But in reality, they do not do any concrete work. Now the seventh red flag is the promoter's royal lifestyle, that is, if the promoter is roaming around in cars worth crores , enjoying holidays abroad and the company is in loss, then understand that the expenditure is being incurred only for show and not for business.
The eighth red flag is promoter pledging of shares. That means, if the promoters of the company are repeatedly pledging their shares, then it is a direct and clear indication that either there is a cash crunch or something is not going well within the company. Now let us come to the ninth red flag which Vijay Kedia has mentioned, that is the top management repeatedly leaving the company.
That means the CFO is changing every six months. The auditor is changing. If CXOs are resigning then it shows that there is instability within the company and where the leadership is not stable then why would investors stay there. Now the 10th red flag is the high number of related party transactions.
That means when most of the contracts of the company are being given to the people associated with it, then it means that the promoters are making money from their own people by deceiving the investors. So these were the 10 red flags given by Vijay Kedia on irregularities in companies. This shows that all that glitters is not gold.
Therefore, it is very important to recognize and understand these red flags before investing. Now since we are talking about Vijay Kedia, before leaving let us also give you information about those stocks in Vijay Kedia's portfolio in which he has recently made big sales. So which company's shares has Vijay Kedia sold?
Let us tell you that Vijay Kedia has sold the shares of Tata's Tejas Networks and these shares have been sold through Kedia Securities Private Limited, which is his firm. In March 2025, 5 lakh shares of Tejas Networks were sold by VJ KDA's company and the stake was reduced to 1.02%. Let us tell you that the 52 week high of Tejas Networks is ₹1495 and currently the stock is trading around ₹800-₹850.
That means the shares are currently available at around half the price. So this was our report on the 10 red flags given by Jasol Engineering and Vijay Kedia.
